Weird fps lag with good PC (fixed)

So after some time I decided to install my Company of Heroes Tales of Valor. But when I last played I had an old system with following specs:

    GPU: ATi 6950
    CPU: Q6600
    RAM: 4gb ddr2 +1066
    HDD: WD 320gb sataIII
    MOBO: MSI P43-neo-f
    PSU: Thermaltake Toughpower 650W
    OS: Win 7 ultimate 64bit

The game worked very well on max settings. No lag at all. Then I didn't play for some time and upgraded my PC which now has following specs:

    GPU: ATi 6950
    CPU: Intel i5-3570K (new)
    RAM: 8gb ddr3 1600 (new)
    HDD: WD 320gb sataIII
    MOBO: MSI B75MA P-45 (new)
    PSU: Thermaltake Toughpower 650W
    OS: Win 7 ultimate 64bit

But now it performs very badly. There are constant fps drops, massive lag, stuttering. I tried all of the patches possible for the game and none of them changed anything. I updated video drivers, I even used older drivers but no difference. I even messed around in the CCC. I used Prime 95 and Furmark 3D to test the performace and I monitored the temperature. Everything was perfectly normal. Also no other game lags.
What I noticed while useing the inbuilt benchmark is that it doesnt matter if I have minimum graphics or maximum I still have this weird lag. Benchmark shows that min fps was 50 but the whole benchmark looked like it had max of 15fps. Results sometimes show min fps as 1-2fps and max fps doesnt want to go over 160fps.
This is really frustrating... and I would really appreciate if some of you could help me out.

Well... I realised that the cutscenes lag... so does the benchmark. I changed settings under the CCC downloaded stuff and did some other crap... and now I have no idea what fixed the horrible lag that I had before. From time to time there are still some stutters and lag spikes but the game works mostly smoothly enough to play it.
